CONSTITUTION OF THE OLD BOOTLEIANS ASSOCIATION

GENERAL

1. The name of the organisation shall be the “Old Bootleians Association” (The Association).

2. The Association shall consist of a President, Vice President (President Elect), Life Vice Presidents and members and shall have the Officers hereinafter mentioned.

3. The Association shall be governed in accordance with its Constitution and Standing Orders by an Executive Committee (the Executive Committee) which shall be elected annually at an Annual General Meeting of the Association (the Annual General Meeting).

4. The President shall take up appointment at the Annual General Meeting and shall hold office for a period of 3 years (unless re-elected). All retiring Presidents will be given the title of Life Vice President.

5. The Vice President (President Elect) shall be elected at the Annual General Meeting 1 year before the President is due to retire and become President upon the retirement of the President.

6. The Chairman shall take up appointment at the Annual General Meeting and shall hold office for a period of three years (unless re-elected). Thereafter he shall become Vice Chairman pending the election of a Vice Chairman/Chairman Elect.

7. The Executive Committee shall comprise a Chairman, a Vice Chairman, a Treasurer, a Secretariat (hereafter collectively referred to as “the Officers”) and no more than 3 other elected Members. And the President, Vice President and retiring Chairman shall also be members of the Executive Committee ex officio.

8. The Secretariat shall comprise a Membership Secretary, a Functions Secretary, a Meetings Secretary, a Golf Secretary, a Representative of the Old Bootleians AFC and a Magazine Editor.


MEMBERSHIP

1.  Any of the following shall be entitled to be a member of the Association, namely:

      a) A former pupil of Bootle Secondary School for Boys or Bootle Grammar School for Boys including a pupil enrolled for the School
          during the 1971/72 year.

      b) A past member of the teaching staff of the said Schools.

      c) A former member of Old Bootleians AFC.

      d) Such supporter of the Association or friend or relative of a Member of the Association, as the Executive Committee shall permit.

The same shall become a Member of the Association upon payment of the Annual Subscription.


2. Any current member of Old Bootleians AFC.

The same shall become a Member of the Association from the date of first attending any function or meeting of the Association and shall retain membership until the date of the Annual General Meeting next following the date of that Member ceasing to be a member of Old Bootleians AFC. Such Member shall not be required to pay the Annual Subscription and shall enjoy all of the rights and privileges arising out of membership of the Association.


3. HONORARY MEMBERS

Honorary Membership may be conferred on such other supporters and/or guests of the Association as the Executive Committee shall deem appropriate.

ADMINISTRATION


1. The Chairman shall preside at all meetings of the Executive Committee.

2. At any meeting when the Chairman is not present the Vice Chairman or, in his absence one of the Committee members present, shall be appointed to preside in his stead.

3. The Membership Secretary shall be responsible for recruitment, maintenance of membership records, ensuring that annual subscriptions are collected and assisting other members of the Secretariat from time to time as required.

4. The Functions Secretary shall be responsible for the arrangement of the Annual Reunion Dinner and the Annual General Meeting and Hot Pot, including reserving the appropriate premises, arranging the menu and circulating members with particulars concerning such events.

5. The Meetings Secretary shall be responsible for arranging committee meetings, making suitable accommodation reservations, taking and circulating minutes after committee meetings and after the Annual General Meeting.

6. The Golf Secretary shall be responsible for arranging the George Vernon Memorial Trophy Golf Day and such other tournaments as appropriate.

7. The Magazine Editor shall be responsible for the collection of material for publication annually or from time to time in the magazine currently entitled “The Old Bootleian“ and for the printing and circulation thereof.

8. The Treasurer shall be responsible for all matters relating to the finances of the Association and the production of a balance sheet of the Association’s affairs for delivery at the Annual General Meeting.

9. The Executive Committee shall have the power to co-opt such members as the Officers shall decide.

10. The Executive Committee shall have the power to appoint sub-committees, which shall in all respects be under the control of the Executive Committee.

11. The Executive Committee shall have the power to formulate amendments to this Constitution for ratification at a General Meeting.


FINANCE


1. The income of the Association shall be derived from:

    a) An annual subscription fixed by the Executive Committee and payable by the members.
    b) Such activities as may be determined by the Executive Committee.


2. The Accounts of the Association shall be produced and laid before the Annual General Meeting to be approved and accepted by vote of the members.

3. All monies shall be kept in: a) an interest bearing account at a Bank or Building Society, and b) a working sum in a current account at NatWest Bank plc or such other clearing bank as the Executive Committee shall determine. Such accounts shall be operated under the signatures of the Treasurer and one of two other signatories as authorised in that behalf by the Executive Committee.

4. The financial year shall begin on 1st September in each year.



MEETINGS


1. Annual General Meeting

   
a) The Annual General Meeting shall be held during the month of November unless otherwisedetermined by the Executive Committee.
    b) Members shall be notified, in writing, of the date of the meeting at least four weeks in advance.


2. Extraordinary General Meeting

   
a) An extraordinary general meeting shall be convened by the Meetings Secretary on receipt of:

         (i) an instruction from the Chairman, or
         (ii) an instruction from the Executive Committee, or
        (iii) a requisition in writing signed by not less than 15 members.

    b) Members shall be notified in writing of the date and proposed agenda of business at least two weeks in advance of such meeting.


3. Executive Committee Meetings

   
a) The date of Executive Committee meetings shall be determined by the Chairman and the Meetings Secretary.
    b) The members of the Executive Committee shall be given at least seven days prior notice of the date of such meeting.


VOTING


1. Unless otherwise specified in the Constitution, decisions at any meeting shall be made by a simple majority of the votes cast with the Chairman having a casting vote.

2. A meeting shall only have power to conduct business whilst the specified quorum is present. A quorum shall consist of:

    a) 5 members of the Executive Committee at meetings of the Executive Committee.
    b) 3 members present at a meeting of a sub-committee.
    c) 15 members at all other meetings of the Association.


INTERPRETATION AND AMENDMENT OF THE CONSTITUTION


1. The Chairman shall be the sole authority for the interpretation of the Constitution and Standing Orders.

2. The Constitution may only be amended by a decision of not less than 75% of the members present and voting at a General Meeting.
